1. Introduction and Acceptance of Terms
Welcome to Mods.chat, a platform operated by MODS LTD, a company registered in England and Wales. These Terms of Service ("Terms") govern your access to and use of the Mods.chat website, applications, and related services (collectively, the "Platform").
By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. If you do not agree to these Terms, you must not use the Platform.
These Terms constitute a legally binding agreement between you ("Candidate," "you," or "your") and MODS LTD ("Company," "we," "us," or "our"). Please read them carefully before using our services.
2. Our Services
Mods.chat is a professional platform that connects qualified candidates with leading AI companies and organizations seeking remote chat operators, content moderators, and data annotation specialists. Our services include:
- Creating and managing your professional profile
- Matching you with relevant job opportunities based on your skills and preferences
- Facilitating the application process between you and our Clients
- Providing tools for skills assessment, onboarding, and performance tracking
- Processing compensation and managing payout information
Important: MODS LTD acts as a platform connecting Candidates with Clients. We are not your employer. Any employment or contractor relationship is formed directly between you and the Client. We do not guarantee job placement, a minimum number of hours, or a specific level of compensation.
3. Your Account and Responsibilities
To use the Platform, you must create an account. By registering, you represent and warrant that:
- You are at least 18 years of age
- All information you provide is accurate, complete, and current
- You will maintain and promptly update your information to keep it accurate
- You have the legal capacity to enter into these Terms
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at hi@mods.chat if you suspect any unauthorized use of your account. We are not liable for any loss arising from unauthorized access to your account.
You may not share your account credentials with any third party, create multiple accounts, or use another person's account without permission.
4. Candidate Conduct
As a user of the Platform, you agree to conduct yourself professionally and in compliance with all applicable laws. You specifically agree not to:
- Provide false, misleading, or fraudulent information in your profile or applications
- Impersonate any person or entity, or misrepresent your qualifications or affiliations
- Harass, abuse, threaten, or discriminate against other users, Clients, or our staff
- Share confidential information obtained through the Platform with unauthorized parties
- Share your account credentials or allow others to access the Platform through your account
- Use the Platform for any unlawful purpose or to facilitate illegal activities
- Attempt to reverse-engineer, decompile, or disassemble any part of the Platform
- Use automated tools, bots, or scrapers to access or interact with the Platform
- Circumvent, disable, or interfere with any security features of the Platform
- Interfere with or disrupt the integrity or performance of the Platform
Violation of these conduct standards may result in warnings, suspension, or permanent termination of your account at our sole discretion.
5. Intellectual Property
The Platform, including its design, logos, text, graphics, software, and all other content created by MODS LTD (collectively, "Company Content"), is the exclusive property of MODS LTD and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Company Content without our prior written consent.
By submitting content to the Platform — including your profile information, resume, work history, and application materials ("User Content") — you grant MODS LTD a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and transmit your User Content solely for the purposes of operating and providing the Platform's services, including sharing your application materials with Clients when you apply for opportunities.
You retain all ownership rights to your User Content. You represent and warrant that you have the right to submit such content and that it does not infringe upon the intellectual property rights of any third party.
6. Termination
You may terminate your account at any time by contacting us at hi@mods.chat. Upon termination, your right to use the Platform will cease immediately.
We reserve the right to suspend or terminate your account at any time, with or without cause and with or without notice, if we believe you have violated these Terms or if your continued use of the Platform poses a risk to us, other users, or Clients.
Upon termination, we will handle your personal data in accordance with our Privacy Policy. Sections of these Terms that by their nature should survive termination — including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law — will remain in effect.
7. Disclaimers and Limitation of Liability
The Platform is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, MODS LTD disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.
We do not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not guarantee the accuracy, completeness, or usefulness of any information on the Platform, nor do we endorse or take responsibility for any content posted by Clients or other users.
To the maximum extent permitted by applicable law, MODS LTD, its directors, officers, employees, affiliates, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, arising from or related to your use of or inability to use the Platform. Our total liability for any claim arising under these Terms shall not exceed the amount you have paid to us, if any, in the twelve (12) months preceding the claim.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the fullest extent permitted by applicable law.
8. Indemnification
You agree to indemnify, defend, and hold harmless MODS LTD and its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Platform or any activity under your account
- Your violation of these Terms
- Your violation of any rights of a third party, including intellectual property rights
- Any content you submit, post, or transmit through the Platform
This indemnification obligation will survive the termination of your account and these Terms.
9. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of England and Wales.
Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, shall be subject to the exclusive jurisdiction of the courts of London, United Kingdom.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
10. Changes to Terms
We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days' notice before the updated Terms take effect. Notice may be provided by email to the address associated with your account or by posting a prominent notice on the Platform.
Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Platform and close your account before the changes take effect.
We encourage you to review these Terms periodically. The "Last updated" date at the top of this page indicates when these Terms were most recently revised.
