These Terms of Service ("Terms") govern your access to and use of our Platform and services, which connect individuals ("Candidates", "you") with companies ("Clients") seeking talent for remote AI moderator, data annotator, human-in-the-loop, and related roles ("Opportunities").

By creating an account, submitting an application, or otherwise accessing or using our Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our Platform.

Mods.chat is a platform provider. We provide the technology and services to facilitate connections between Candidates and Clients. Our responsibilities are limited to:

**Important Disclaimer:** Mods.chat is NOT your employer. We are an intermediary platform. Any agreement you enter into for an Opportunity is strictly between you and the Client. The Client is solely responsible for the terms of employment or contract, including but not limited to, job duties, work schedule, compensation, payment, and legal compliance. We do not supervise, direct, or control the work you perform for Clients.

We continuously work to maintain quality standards and ensure all listed opportunities meet our platform requirements.

To access most features of the Platform, you must register for an account. You agree to:

• Attempt to circumvent our Platform to engage with Clients directly for Opportunities first discovered on Mods.chat, unless authorized.
• Upload or transmit any viruses, malware, or other malicious code.
• Attempt to reverse engineer, decompile, or otherwise access the source code of the Platform.
• Submit any false, misleading, or inaccurate information in your profile or applications.

• Use the Platform for any fraudulent or unlawful purpose.

The Platform and its original content, features, and functionality are and will remain the exclusive property of Mods Chat Inc. and its licensors. This includes all software, text, graphics, logos, and user interface elements.

By submitting content (such as your profile information or application materials) to the Platform, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such content in connection with operating and providing the Platform services.

You retain ownership of your original content, but grant us the necessary rights to operate the platform and provide our services.

You may terminate your account at any time by following the instructions on the Platform.

We reserve the right to suspend or terminate your account and access to the Platform at our sole discretion, without notice or liability, for any reason, including but not limited to a breach of these Terms.

Upon termination, all rights and licenses granted to you will immediately cease, and you must stop using the Platform.

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE PLATFORM, INCLUDING BUT NOT LIMITED TO THE AVAILABILITY, RELIABILITY, OR ACCURACY OF THE PLATFORM OR THE OPPORTUNITIES LISTED.

WE DO NOT GUARANTEE THAT YOU WILL FIND AN OPPORTUNITY OR BE HIRED BY ANY CLIENT.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL MODS CHAT INC., ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM, INCLUDING CLIENTS; (III) ANY CONTENT OBTAINED FROM THE PLATFORM; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

You agree to defend, indemnify, and hold harmless Mods Chat Inc. and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of your use and access of the Platform, or a breach of these Terms.

This indemnification obligation survives termination of your account and these Terms.

We reserve the right to assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense.

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising from these Terms or your use of the Platform shall be resolved through binding arbitration in Wilmington, Delaware, except that you may assert claims in small claims court if your claims qualify.

The prevailing party in any dispute resolution proceeding may be entitled to recover attorney's fees and costs.
